AZAANEX BUSINESS
Incorporation & Business Setup
Incorporating is easy; incorporating properly is slightly harder and much rarer. The certificate is the beginning — the CRA accounts, the minute book, the registrations and the first-year filings are where new corporations quietly go wrong. We do the whole job, including telling you if you shouldn’t incorporate yet.
Should you incorporate at all?
The honest first conversation: incorporation buys limited liability, access to the small business tax rate, and credibility with certain clients — at the price of annual filings, separate books and real administrative obligations that don’t care how busy you are. For a profitable, growing business or one taking on contract risk, it’s usually right; for a modest side income, a sole proprietorship’s simplicity often wins for now. We’ll tell you which you are, even when the answer earns us nothing this year — that’s a client for later, and we’re patient.
Federal versus provincial is the second question — federal buys Canada-wide name protection and mobility at slightly more annual paperwork; provincial is simpler and often enough for a business rooted in one province. We register either, correctly, with reasons stated.
The complete setup, not just the certificate
Done properly, day one includes: articles filed with sensible share structure (fixing a lazy default later is a lawyer’s invoice), the corporate minute book that banks and buyers eventually demand, CRA business number with the accounts you actually need — corporate tax, GST/HST, payroll if hiring — extra-provincial registration where you’ll operate, and a plain-language calendar of the filings your new corporation now owes annually. Then, if you want it, the same team runs the books, payroll and taxes — which is the point of a divisions company: the incorporation flows into the accounting without a handoff.

Frequently asked questions
Federal or provincial — which should I choose?
Federal for Canada-wide name protection and mobility; provincial for simplicity when you’ll operate in one province. It’s a fifteen-minute conversation about your actual plans, and we have it before filing anything.
What does incorporation actually cost all-in?
Government fees plus our fixed package — quoted precisely in writing once we know federal versus provincial and your province. No percentage games, no surprise disbursements.
What is a minute book and do I really need one?
The corporation’s legal record — resolutions, registers, share issuances. Banks ask for it, buyers demand it in due diligence, and reconstructing one years later costs multiples of doing it now. So: yes.
I incorporated online last year and did nothing since. Help?
Very common. We audit what exists, file what’s missed, assemble the minute book, open the accounts that were skipped, and put you on the calendar going forward. Cheaper than it sounds; more urgent than it feels.
